1. Introduction

These Terms & Conditions (“Terms”) govern the use of all services, digital platforms, communication tools, and software solutions provided by the Company (“we”, “us”, “our”). By accessing, subscribing to, or using any of our services—including WhatsApp Business API, WhatsApp Cloud API, RCS messaging services, promotional campaigns, automation systems, or any related technology—you (“user”, “client”, “customer”) agree that you have read, understood, and accepted these Terms.

These Terms are drafted in accordance with applicable Indian laws, including the Information Technology Act, 2000, Consumer Protection Act, 2019, and relevant Meta (WhatsApp) and RCS guidelines issued by telecom operators and Google.

If you do not agree to any clause in these Terms, you must discontinue using our services immediately.


2. Definitions

For the purpose of these Terms:

  • “Services” refers to messaging solutions, WhatsApp API support, RCS messaging, automation, campaign management, and all digital communication tools provided by the Company.
  • “User/Client” means any individual, company, or entity registered to use our services.
  • “Meta/WhatsApp” refers to Meta Platforms Inc. and its subsidiaries.
  • “RCS” refers to Rich Communication Services operated by telecom providers and Google.
  • “Platform” means the Company’s website, dashboard, API integrations, and any software interface.
  • “Message Data” means communication logs, delivery reports, and usage data generated through WhatsApp API or RCS.
  • “Subscription” refers to any paid plan, package, or service level purchased by the user.

3. Acceptance of Terms

By accessing our services, registering an account, integrating APIs, or using any communication facility, you acknowledge and agree that:

  1. You have read and accepted these Terms.
  2. You are legally capable of entering into binding agreements.
  3. You are authorized to act on behalf of the business you represent.

Your continued use constitutes ongoing acceptance.


4. Description of Services

The Company provides communication, messaging, and automation services, including but not limited to:

  • WhatsApp Business API integration
  • WhatsApp Cloud API onboarding
  • RCS messaging and campaign services
  • Message automation and broadcast tools
  • Data analytics and reporting
  • Business communication support
  • Template creation and compliance assistance
  • Customer engagement tools

We do not represent Meta, WhatsApp, or Google. We provide integration and support as an independent service provider.


5. Eligibility

To use our services, you must:

  • Be at least 18 years old
  • Operate a legally registered business in India
  • Provide valid identification documents
  • Not be prohibited under Indian law or Meta/RCS policy guidelines

6. Account Registration

Users must create an account by providing:

  • Business name
  • Address
  • Contact number
  • Email ID
  • KYC documents (if required)
  • Facebook Business Manager details (for WhatsApp API)

You are responsible for:

  • Maintaining confidentiality of login credentials
  • Ensuring all provided information is accurate
  • Notifying us of unauthorized access immediately

We reserve the right to verify information and reject/disable accounts without explanation in case of fraud or misuse.


7. User Responsibilities

You agree not to:

  • Use messaging services for spam or unsolicited communication
  • Send prohibited content as per WhatsApp/RCS/telecom rules
  • Use false IDs, misleading information, or illegal promotional material
  • Attempt to breach system security or misuse APIs
  • Violate Meta Business Policy or Indian law

You must:

  • Ensure your templates follow WhatsApp/RCS rules
  • Use the API only for lawful business activities
  • Comply with grievance and user opt-out requirements
  • Maintain lawful data usage and privacy standards

8. Payment & Billing Terms

  • All plans, packages, and subscriptions are prepaid.
  • Payments are non-refundable unless otherwise stated.
  • Taxes (GST) will be added where applicable.
  • Delay or failure to pay may result in suspension of services.
  • Pricing may change, and updated pricing applies upon renewal.

9. Subscription Renewal & Termination

Renewal

Subscriptions renew automatically unless cancelled by the user.

Termination by User

You may terminate anytime by notifying us in writing.

Termination by Company

We may suspend or terminate service:

  • For misuse, fraud, or illegal activity
  • Non-payment of fees
  • Policy violations
  • Abuse of WhatsApp or RCS channels

Upon termination:

  • Access to dashboards/API may be restricted
  • Stored data may be deleted as per retention policy

No refunds will be issued for terminated accounts.


10. Use of WhatsApp Official API & RCS

By using WhatsApp or RCS services:

  • You agree to Meta’s WhatsApp Business Policy
  • You agree to Google/Telecom RCS policies
  • You consent to data passing through Meta or Google servers
  • You acknowledge message delivery is not guaranteed

We are not responsible for:

  • WhatsApp/RCS downtime
  • Template rejections
  • Government restrictions
  • Operator/Meta/Google-level disruptions

11. Message Delivery & Compliance Policy

Message delivery depends on:

  • Telecom networks
  • WhatsApp infrastructure
  • User device settings
  • Internet availability
  • RCS compatibility

We are not liable for:

  • Delayed delivery
  • Message blocking
  • Template rejection
  • Transmission failures

All content must strictly follow:

  • Indian laws
  • TRAI/UCC rules
  • Meta Business Policy
  • Google RCS policy

Violation may result in account suspension.


12. Intellectual Property Rights

All content, code, dashboards, workflows, tools, and materials created by the Company remain its exclusive property.

Users may not:

  • Copy, reproduce, or distribute our materials
  • Reverse engineer any tool or software
  • Claim ownership of our intellectual assets

13. Confidentiality

Both parties agree to maintain confidentiality regarding:

  • Business data
  • Customer databases
  • Template content
  • Internal documents

We do not sell or share data except as required to deliver WhatsApp/RCS services.


14. Disclaimer of Warranties

The Company provides all services on an “as-is” basis.

We do not guarantee:

  • Uninterrupted availability
  • 100% message delivery
  • Zero downtime
  • Approval of WhatsApp templates
  • Accuracy of third-party integrations

15. Limitation of Liability

To the maximum extent permitted under Indian law:

  • The Company’s liability is limited to the amount paid for the service.
  • We are not responsible for losses, profits, or damages from delayed or failed messaging.

16. Indemnification

You agree to indemnify and hold the Company harmless against:

  • Claims arising from message misuse
  • Violations of WhatsApp/RCS policy
  • Illegal business activities
  • Abuse of platform integrations

17. Governing Law – India

These Terms are governed by:

  • Indian Contract Act
  • Information Technology Act
  • Applicable state/central regulations

18. Changes to Terms

We may update these Terms anytime. Updated versions will be posted on the website, and continued use implies acceptance.
